Terms of Service

Welcome to Seyfmark. These Terms of Service (“Terms”) govern your access to and use of all services provided by Seyfmark LLC (“Seyfmark,” “we,” “us,” or “our”), including but not limited to:
- Flowsa, our proprietary SaaS platform, including its wallet-based services like SMS, email, and AI features, and
- Advertising, marketing, branding, and web development services provided directly through Seyfmark’s agency.
By using any of our services, you agree to these Terms.
1. Use of Services
1.1 Eligibility: You must be at least 18 years old and legally able to enter into a binding agreement.
1.2 License for Software (Flowsa): Seyfmark grants you a non-exclusive, non-transferable license to use the Flowsa platform in accordance with these Terms.
1.3 Scope of Services: Services may include SaaS access, CRM automations, SMS/email campaigns, AI tools, ad campaign management, branding, website design, consulting, and more, as defined by your service agreement or invoice.
1.4 User Responsibility: You are responsible for account security, submitted content, and all activity under your account(s).
2. Billing & Payments
2.1 Subscription Fees (Flowsa): SaaS services are billed on a monthly or annual subscription model. Your subscription will auto-renew unless canceled at least 7 days before the next cycle.
2.2 Flowsa Wallet:
- The Flowsa Wallet is a prepaid credit system used for SMS, email sends, AI tools, and third-party usage within the platform.
- Credits are non-refundable and expire 12 months from the purchase date.
2.3 Service Fees (Marketing/Web): Fees for ad management, branding, web development, and other agency services are project-based, hourly, or retainer-based, as defined in your signed agreement or proposal.
2.4 Late Payments: Late or failed payments may result in suspension of services and/or additional fees.
3. Refund & Cancellation Policy
3.1 Software Subscription (Flowsa):
- Refunds are allowed within the current billing cycle only, and only if there has been no significant usage (logins, sends, automations, etc.).
- No refunds are issued for previous billing cycles.
3.2 Wallet Credits: All Flowsa Wallet credit purchases are non-refundable regardless of usage.
3.3 Marketing & Web Services: - Refunds for agency services are only available if no work has been initiated.
- Once a campaign, design, or scope of work has been started, fees paid are considered earned.
- In the case of pre-paid retainers, you may request cancellation with a 15-day written notice. Partial refunds, if any, are at our discretion based on work completed to date.
3.4 Cancellation: - Software subscriptions can be canceled anytime via your Flowsa dashboard.
- For service-based engagements, cancellations must be submitted in writing to your assigned account manager or to management@seyfmark.com.
4. Chargebacks
4.1 Contact First Policy: You agree to contact Seyfmark directly before initiating a chargeback or payment dispute.
4.2 Fraudulent Chargebacks: Chargebacks on valid or delivered services (including used software, launched ads, or delivered designs) are a violation of these Terms and may result in legal action, collections, and account termination.
4.3 Evidence Submission: We maintain detailed logs of usage, access, communications, and delivery of services which may be submitted to your payment processor in dispute situations.
5. Termination
5.1 By Client: You may terminate your account or service agreement at any time. Termination does not entitle you to a refund for services already rendered or current billing cycles.
5.2 By Seyfmark: We reserve the right to suspend or terminate your account or project due to nonpayment, breach of terms, misuse, or abuse of chargeback systems.
6. Intellectual Property
All Flowsa software, code, workflows, content, campaigns, creative, and design assets remain the property of Seyfmark LLC unless otherwise stated in writing. Custom branding or website assets may be transferred upon full payment and written agreement.
7. Limitation of Liability
Seyfmark is not liable for any indirect, incidental, punitive, or consequential damages. Total liability for any claim shall not exceed the fees paid to us by you in the 30 days prior to the claim.
8. Modifications
We reserve the right to update these Terms at any time. We will notify you of significant changes, and continued use of services constitutes acceptance of the revised Terms.
9. Governing Law
These Terms are governed by the laws of the State of CA. All disputes will be resolved in the courts of Orange County, CA.
